ORO REMIT INC. – TERMS AND CONDITIONS

1. Introduction
1.1 These terms and conditions (“Terms and Conditions”) govern the terms under which you may access and use the website (including our App, where applicable) and the associated services (together, the “Service”). By accessing, registering, or using the Service, you agree to be bound by these Terms and Conditions. If you do not agree, do not access, register, or use the services. All services, instructions, and transactions shall be conducted in English.

1.2 In these Terms and Conditions:
– “Oro Remit,” “we,” “us,” and “our” refer to ORO REMIT INC., a company registered in Canada (corporation number 1554134-4).
– “You” and “your” refer to Service users, including Senders, Recipients, or visitors to the website.

1.3 These Terms and Conditions are effective from the date of your first access, registration, or use of the Service. We may update these Terms as outlined in Clause 17.3.

1.4 The Service is designed to:
– Assist customers in sending money to family and friends.
– Receive money from family and friends.
For security reasons, we recommend only sending money to people you know personally.

2. Definitions
– App: Oro Remit’s mobile application for Transactions.
– Business Day: Any day we are open for business.
– Destination Country: The country where the Payee receives money.
– E-money: Electronically stored monetary value.
– Instruction: A Transaction request.
– Local Taxes: Taxes or charges payable in the Destination Country.
– Payee/Recipient: The person receiving money.
– Payment Instrument: A valid payment method (e.g., bank account, debit/credit card).
– Payout Amount: The amount paid to the Payee after fees and exchange.
– Prohibited Activities: Includes narcotics, weapons, adult content, cryptocurrency, gambling, etc.
– Sender: The person sending money.
– Service Fee: Oro Remit’s fee plus any additional charges or Local Taxes.
– Service Provider: Third-party providers (e.g., banks, mobile operators) facilitating the Service.
– Transaction: The transfer of money through the Service.
– Transaction Amount: The amount sent, excluding fees and before exchange.
– Transaction History: Your record of Transactions accessible via your account.

3. Our Obligations
3.1 We provide the Service using reasonable care, but it may not be available in all regions.
3.2 We reserve the right to refuse any Transaction and will notify you if we do.
3.3 We may modify or discontinue the Service without notice.
3.4 We may refuse Transactions or impose limits at our discretion.
3.5 Delivery times are estimates, not guarantees.
3.6 Transactions may be delayed or cancelled for reasons like identity verification or legal compliance.
3.7 We will notify you via email, app, or SMS regarding Transactions.
3.8 We provide Service Provider details but are not liable for inaccuracies.

4. Your Obligations
4.1 You agree to:
– Be at least 18 years old and legally capable of entering contracts.
– Pay the Service Fee and Transaction Amount.
– Provide accurate personal and Recipient information.
– Not use the Service for Prohibited Activities.
– Only send money to people you know personally.
4.2 We are not liable for losses due to your breach of these obligations.
4.3 Double-check Transaction details before submission—changes are rarely possible afterward.
4.4 The total amount (Transaction + fees) and exchange rate will be displayed before confirmation.
4.5 Ensure the payout currency matches the Recipient’s account currency to avoid delays.
4.6 You are responsible for any bank/credit card fees (e.g., overdraft, cash advance fees).
4.7 Do not use the Service for business transactions or payments to strangers.
4.8 Both Sender and Recipient must act on their own behalf unless approved by Oro Remit.
4.9 Comply with all laws; illegal activity (e.g., fraud, money laundering) is prohibited.
4.10 Do not provide false information, share account details, or misuse the Service.

5. Our Right to Refuse, Suspend, or Cancel
5.1 We may refuse/cancel Transactions for reasons including:
– Suspected illegal, fraudulent, or Prohibited Activities.
– Violations of anti-money laundering/terrorism financing laws.
– Purchases from untrusted third parties.
– Inability to verify identities (Sender or Recipient).
5.2 We may suspend your account if Transactions are refused/cancelled.
5.3 Service Fees may be retained for refused/cancelled Transactions.
5.4 We may request additional Transaction or identity details.

6. Your Right to Cancel or Refunds
6.1 Transactions cannot be automatically revoked once submitted.
6.2 We may attempt cancellations but cannot guarantee success. Refunds exclude fees.
6.3 Report issues (e.g., unauthorized Transactions) within 13 months of the debit date.
6.4 We are not liable for incorrect Recipient details provided by you.
6.5 If we execute a Transaction incorrectly, we will refund the full amount.
6.6 Refunds are credited to the original Payment Instrument.

7. Collection of Information and Confidentiality
7.1 We collect personal data to comply with anti-money laundering laws.
7.2 We verify identities via credit agencies (no credit checks performed).
7.3 Your data is processed per our Privacy Policy: https://www.ororemit.ca/privacy.
7.4 We may disclose information to government authorities if required by law.
7.5 Recipients must provide valid ID to receive funds.
7.6 Keep Oro Remit communications confidential unless disclosure is legally required.

8. Intellectual Property
8.1 Oro Remit owns all website/Service content and intellectual property.
8.2 You may only use the Service for permitted purposes. Unauthorized copying/distribution is prohibited.

9. Warranties and Liability
9.1 We refund Transaction Amounts + Fees for material breaches causing loss.
9.2 You may have refund/compensation rights under money transfer laws.
9.3 Claims require supporting documentation.
9.4 Our liability is capped at the greater of the Service Fee or CAD$500 per claim.
9.5 We are not liable for:
– Failures due to unforeseen circumstances/legal obligations.
– Communication malfunctions beyond our control.
– Errors caused by incorrect third-party information.
9.6 The Service is provided “AS IS” without warranties (e.g., fitness for purpose).
9.7 Liability for death/injury or fraud is not excluded.
9.8 You accept these terms on behalf of unregistered Recipients.

10. Use of the App and Services
10.1 We grant a non-transferable license to use the App per these Terms.
10.2 Do not copy, modify, or misuse the App.
10.3 The App may not meet all individual requirements.
10.4 The Service is for personal use only—no business/resale purposes.
10.5 The free App is provided without warranties.
10.6 We are not liable for:
– Service failures due to external factors.
– Errors from incorrect information.
– Jailbroken/modified device issues.

11. Electronic Communications
11.1 Communications (e.g., Terms updates, transaction records) are electronic.
11.2 Paper communications are not available; withdrawing consent terminates Service access.
11.3 You need:
– A compatible browser/email.
– Storage/printer for records.
11.4 Update your email promptly if it changes.

12. Termination
12.1 You may terminate with one month’s written notice.
12.2 We may terminate immediately for:
– Insolvency/breach of Terms.
– Disruptive/fraudulent Service use.
– Security breaches (e.g., hacking, spamming).

13. Complaints
13.1 Submit complaints in writing via https://www.ororemit.ca.
13.2 We will acknowledge and investigate complaints promptly.

14. General
14.1 Governing Law:
– Non-Quebec residents: Ontario/Canadian federal law.
– Quebec residents: Quebec/Canadian federal law.
14.2 No waiver of rights by Oro Remit’s inaction.
14.3 We may modify Terms with 30 days’ notice (where required). Continued use implies acceptance.
14.4 This is the entire agreement—no prior understandings apply.
14.5 Invalid clauses are severed; the rest remain enforceable.
14.6 Third-party links are provided for convenience; we are not responsible for their content.

15. Security
– We use advanced security measures.
– Be cautious of scams or “too good to be true” offers.
– Report suspicious activity to compliance@ororemit.ca.
